1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User") and Aditya Institutes ("we," "us," or "our"), a business entity and subsidiary of Springreen, concerning your access to and use of the edu.springreen.in website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions. You also acknowledge that you have read and understood our Privacy Policy, which is incorporated by reference into these Terms. If you do not agree with all of these Terms and Conditions (including the Privacy Policy), then you are expressly prohibited from using the Service and you must discontinue use immediately.

User Eligibility: The Service is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Service without verifiable parental or guardian consent, in accordance with our Privacy Policy. By using the Service, you represent and warrant that you have the legal capacity to enter into this agreement or have obtained the necessary consent to do so.

2. User Accounts and Registration

A. Account Creation: While general browsing of the Service may be available to all users, to access certain features, including but not limited to purchasing goods, enrolling in subscription plans, or uploading User Content, you must register for an account ("Account"). You agree to provide true, accurate, current, and complete information about yourself as prompted by the Service's registration form ("Registration Data"). You also agree to maintain and promptly update the Registration Data to keep it true, accurate, current, and complete.

B. Account Security: You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. You agree to accept full responsibility for all activities that occur under your account or password. You must notify us immediately of any breach of security or unauthorized use of your Account. We will not be liable for any losses caused by any unauthorized use of your Account.

C. Account Termination for Misrepresentation: We reserve the right to suspend or terminate your Account, without notice or liability, if any information provided during the registration process or thereafter is found to be untrue, inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect as such.

D. Account Non-Transferability: Your Account is personal to you and may not be transferred, sold, or assigned to any other person or entity.

3. Purchases, Payments, and Subscriptions

We offer certain products, services, and educational content for purchase on the Service.

A. One-Time Payments: You may purchase certain goods or services for a one-time fee. All payments are processed through our third-party payment processors (e.g., payment gateways). We do not collect or store your full payment card details. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts. All payments shall be in Indian Rupees (INR) unless otherwise specified. You are responsible for any applicable taxes, including Goods and Services Tax (GST), associated with your purchase.

B. Subscription Plans: We offer subscription plans that provide access to certain content or features.

Billing: Subscriptions are billed on a recurring and periodic basis (e.g., monthly or annually) as specified at the time of purchase. Your payment method will be charged automatically in advance of each new subscription period.

Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle for an equivalent term, at the then-current subscription rate, unless you cancel it prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting us. To avoid being charged for the next subscription period, you must cancel your subscription at least twenty-four (24) hours before the renewal date.

Effect of Cancellation: If you cancel your subscription, the cancellation will take effect at the end of the current paid term. You will continue to have access to the subscription services until the end of your billing period.

Price Changes: We reserve the right to modify the subscription fees at any time. We will provide you with reasonable prior notice (e.g., via email or a notice on the Service) of any such fee changes, giving you an opportunity to cancel your subscription before the change becomes effective.

No Free Trials: We do not offer free trials for our subscription plans at this time.

C. Refunds: Except when required by mandatory applicable law, all fees paid for purchases (one-time or subscription) are non-refundable. We are under no obligation to provide refunds or credits for any reason, including but not limited to partial subscription periods, unused services, or your dissatisfaction with the Service.

4. User-Generated Content

The Service may permit you to create, upload, post, send, or store content, such as coursework, notes, comments, forum posts, or other materials ("User Content").

License Grant: By submitting, posting, or uploading User Content to the Service, you grant Aditya Institutes a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating, providing, and promoting the Service.

Your Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that: (i) you are the creator and owner of the User Content, or (ii'_') you have the necessary licenses, rights, consents, and permissions to publish the User Content you submit and to grant us the license set forth herein; and (iii) your User Content does not and will not infringe, violate, or misappropriate any third-party right.

Prohibited Content: You agree not to post User Content that: (i) is unlawful, defamatory, libelous, obscene, pornographic, indecent, threatening, harassing, hateful, or racially or ethnically offensive; (ii) infringes on any third party's intellectual property rights, including copyright, trademark, patent, or trade secret; (iii) constitutes spam, "phishing," chain letters, or any form of unsolicited advertising; (iv) contains software viruses, worms, or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware; (v) attempts to impersonate another person or entity; or (vi) violates the privacy of any third party.

Monitoring and Removal: We reserve the right, but not the obligation, to monitor, screen, edit, or remove any User Content at our sole discretion, for any reason or no reason, and without prior notice. We are not a backup service, and you are solely responsible for creating and maintaining your own backup copies of your User Content.

5. Intellectual Property Rights

The Service and its original content (excluding User Content), including but not limited to all software, source code, text, graphics, logos, visual designs, and trademarks (collectively, "Our Content"), as well as its features and functionality, are and will remain the exclusive property of Aditya Institutes and its licensors. The Service is protected by copyright, trademark, and other laws of both India and foreign countries.

Our trademarks, logos, and visual design may not be used in connection with any product or service without the prior written consent of Aditya Institutes. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly for your personal, non-commercial, educational use, subject to these Terms.

Any other use, including but not limited to the reproduction, distribution, display, modification, or scraping of Our Content, or the reverse engineering or decompiling of the Service's software, is strictly prohibited.

We respect the intellectual property rights of others. It is our policy to respond to any claim that User Content posted on the Service infringes on the copyright or other intellectual property rights of any person.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to dmca-edu@springreen.in, with the subject line: "Copyright Infringement."

Your notice must include:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest.

A description of the copyrighted work that you claim has been infringed, including the URL or location of an authorized copy.

The specific URL or location on the Service of the allegedly infringing material.

Your address, telephone number, and email address.

A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Misrepresentations: Be aware that you may be held liable for damages (including costs and attorneys' fees) for misrepresenting that any content is infringing your copyright.

7. Feedback and Suggestions

Any feedback, comments, ideas, or suggestions ("Feedback") you provide to us regarding the Service is entirely voluntary. You agree that by submitting Feedback, you assign to us all right, title, and interest in and to such Feedback, and you waive any moral rights you may have therein. We may implement and use such Feedback, in any manner, for any purpose, without any compensation, credit, or obligation to you.

8. Promotions

From time to time, we may offer promotions, contests, or sweepstakes ("Promotions") via the Service. These Promotions may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. All Promotions may be modified or canceled by us at any time, without liability, and may be void where prohibited by law.

The Service may contain links to third-party websites or services that are not owned or controlled by Aditya Institutes. These links are provided for your convenience only and do not imply any endorsement or approval by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that you access such third-party sites at your own risk.

10. Termination

A. Termination by Us: We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, in our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

B. Termination by You: If you wish to terminate your account, you may do so by discontinuing your use of the Service or by contacting us to delete your account.

C. Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions (Section 5), license grants for User Content (Section 4), disclaimers (Section 11), limitations of liability (Section 11), and governing law (Section 12). Termination of your Account may result in the deletion of your User Content, and we will have no liability to you for any such deletion. No refunds will be issued for any pre-paid fees upon termination.

11. Disclaimer of Warranties & Limitation of Liability

A. Disclaimer of Warranties: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permissible by law, we disclaim all warranties, express or implied, in connection with the Service and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties or representations about the accuracy, completeness, or timeliness of the Service's content or the content of any sites linked to the Service. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

B. Limitation of Liability: In no event shall Aditya Institutes, nor its directors, employees, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, loss of profits, data, use, goodwill, or other intangible losses) arising out of or in connection with (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content.

C. Liability Cap: To the fullest extent permitted by applicable law, our total aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the Service shall not exceed the greater of: (a) the total amount of fees, if any, paid by you to us in the six (6) month period immediately preceding the event giving rise to the claim, or (b) One Hundred Indian Rupees (₹100).

12. Governing Law and Jurisdiction

A. Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Tamil Nadu, India, without regard to its conflict of law provisions.

B. Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Salem, Tamil Nadu, to resolve any dispute arising out of or relating to these Terms or the Service.

C. Informal Negotiation: To expedite resolution and control the cost of any dispute, you and Aditya Institutes agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating any court proceeding. Such informal negotiations commence upon written notice from one party to the other.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material (as determined by us), we will provide at least thirty (30) days' notice prior to any new terms taking effect. Notice may be provided by email, by posting a prominent notice on our Service, or by other reasonable means. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. It is your responsibility to review these Terms periodically for changes.

14. Miscellaneous

A. Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Aditya Institutes regarding our Service and supersede all prior and contemporaneous agreements.

B. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.

C. No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Aditya Institutes.

D. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, without restriction.
